Many states require all corporations to file annual reports, but Pennsylvania is the exception. Only limited liability companies (LLCs) and limited liability partnerships (LLPs) are required to register annually with the Pennsylvania Department of State Corporation Bureau. Reporting forms are accessible online and must be filed, along with the required fee, by April 15.
Obtain annual registration forms. From the Pennsylvania Department of State home page (dos.state.pa.us), click the "Corporations" link, then select "Forms". Scroll down the menu and choose the annual registration form for either a limited liability company or limited liability partnership, domestic or foreign, depending on the structure of your business. You can also request a form over the phone by calling 717-787-1057 or 888-659-9962, via email through the link on the Corporation Bureau home page, or in person at 401 North Street, Room 206, Harrisburg, Pennsylvania.
Complete annual reporting forms. The annual registration form for either an LLC or LLP requires the full name of the company, mailing address, and the number of general partners in the company as of December 31 of the previous year. Forms must be typewritten or handwritten in blue or black ink.
Include annual fee. The annual fee for an LLP is $310 per partner in the company. The fee is $460 for every member of an LLC. In both cases, the fee is valid only for partners who have a principle residence in Pennsylvania.
Submit by the deadline. Sign and submit the annual registration form with appropriate fee to the Corporation Bureau by April 15. Mail to Pennsylvania Department of State, Corporation Bureau, Post Office Box 8722, Harrisburg, Pennsylvania 17105-8722.
