Change the Name of a Delaware LLC

A limited liability company is a form of business structure that is organized under state law and offers its owners limited liability from debts and obligations of the LLC. In Delaware, LLCs are organized through the state's Division of Corporations. If you currently have a Delaware LLC, you can request a name change for the business with the state by filing a Certificate of Correction and paying the required fee.

Instructions

    • 1

Open the web browser on your computer and go to the Delaware Division of Corporations' General Information Name Search.

    • 2

Verify that the new name you want to use for your LLC is not already in use. Enter the desired name in the text field and press the "Search" button. If the name selected is already in use, the state of Delaware will not allow the name change and will require you to select another name. If the search query results do not display the exact name you want to use for your business, you can use the name for your LLC.

    • 3

Enter the current name of your LLC in Section #1 of the Certificate of Correction form.

    • 4

Enter "Articles of Organization" in Section #2 and the date the articles of organization were filed with the state.

    • 5

Enter "Desire a name change" in Section #3.

    • 6

Enter the new LLC name you want to use in Section #4.

    • 7

Sign and date the form and print your full legal name.

    • 8

Prepare a cover letter that includes your name, address and telephone number.

    • 9

Mail the completed form, cover letter and a cashier's check or money order made payable to "Delaware Secretary of State" for $200 to:

      Division of Corporations

      401 Federal St. -- Suite 4

      Dover, DE 19901
