Sign on Behalf of an LLC

An LLC, or limited liability company, operates similarly to an S Corporation in that it allows asset protection as well as litigation protection in the event of a lawsuit without the double taxation of a C Corporation. Signing on behalf of an LLC depends on a number of factors. You must be a member, or owner, of the LLC. You may also need specific information about the LLC to verify you're authorized to sign on behalf of that particular company.

Instructions

    • 1

Verify whether you are an LLC member. When the original articles of organization were drafted with your secretary of state, a list of the company's owners was provided. The person who drafted the articles of organization has a copy of this document. Or, visit your secretary of state's website and search for the name of your LLC. See if your name is listed. Print a copy of the articles of organization for your records just in case it's needed. For example, if you are opening a bank account they may need to see proof of the articles of organization.

Obtain any employer identification numbers or other legal information associated with the LLC. When applying for credit and leasing arrangements, you may be required to have an employer identification number or your Dun and Bradstreet number. The original owner of the LLC may have this information. You also may obtained it by accessing the Internal Revenue Service or by visiting dnb.com

Check the articles of organization to determine if more than one member is required to sign on behalf of the LLC. The lawyer or individual who drafted the articles of organization may have created a rule that requires more than one member to sign on behalf of the LLC. For example, certain banks may give you the option of having more than one member sign a check for it to be accepted.

Sign your name. Remember to list the name of the LLC when signing legal documents on behalf of the company. For example, a signature would be read as, "Jane Doe on behalf of XYZ, LLC."
