How to Start a Las Vegas Corporation
Nevada has become one of the top states for businesses to incorporate due to its privacy for the owners, as well as its income taxes being lower than other states. Starting a Las Vegas corporation can be done within hours or less than 30 days depending on the amount of money you are willing to pay to expedite the approval. Starting a corporation in Las Vegas will give you tax write-offs that you would not find if you chose to be a sole proprietorship, as well as protection from your personal assets in the event of litigation.

Search the Nevada Secretary of state website for the business name you are interested in using. Two corporations cannot operate with the same name in the same state. Visit the Nevada Secretary of State's website, and conduct a business entity search. Type in the name of your intended business name and click "search." If no resorts are found, the business name is available for use.

Draft your articles of incorporation. The articles of incorporation is a document submitted to the Secretary of State listing the details of who and how your corporation will run. Articles of incorporation includes the name of the business, the address, the registered agent, the name and address the owners as well as any shares that will be issued, if any. Hire an attorney or certified public accountant to draft the articles of incorporation for you or do so yourself by using the online templates available on Nevada Secretary of State's website (see Resources).

Pay any applicable fees to file your articles of corporation. Expect to pay more money if you like to have your corporation approved within the same day or week of submission. Otherwise, pay a state filing fee and have your corporation approved within 30 days. Payment should be made via check or money order, or you can file online using a major credit card. The filing fee is based on the number of shares you plan to issue. If you plan on issuing less than $75,000 in shares, the filing fee is $75. If you choose to issue between $75,000 and $200,000 in shares, the filing fee is $175 (as of 2010). The filing fees and articles of corporation can be either mailed or delivered to: New Filings Division, 204 N. Carson St., Suite 4, Carson City, NV 89701-4520. They can also be faxed to 775-684-7138.
