How to Register a Business in Delaware
Delaware is the most popular state for businesses to incorporate in, or to be organized in, because it has laws that are favorable to businesses. There are a variety of different business forms that you can choose for your business in Delaware, such as a business corporation, a sole proprietorship, a partnership, a limited partnership, an S-Corporation, a limited-liability partnership, and a Limited Liability Company (LLC), among others. Any business form that you choose, other than the sole proprietorship, must be registered with the state of Delaware.

Determine your business form. There are many considerations that must be examined when deciding on which type of business to start. The type of business form that you choose will determine the way the business is taxed and whether you will be personally liable for business activities as the owner.

Choose your business's registered agent. A registered agent is a person or company who will receive service of process if your business is sued, and other important documents.

Complete the business form filing documents. You must complete a specific filing form for the business form that you choose.

Complete the State of Delaware, Division of Corporations, Document Filing Sheet. You must complete this filing memo and submit it with your business form filing. The filing memo requires you to state the name and address of the person submitting the documents, the type of document you are filing, payment information, and information on how you would like the filing to be returned to you.

Submit the filing memo, the business form filing, and the applicable filing fee to the State of Delaware, Division of Corporations. Each business form has its own filing fee, so read the filing instructions that accompany the filing paperwork carefully.
