The first thing you need to do is give your non-profit group a name. This will be how you are known from that point forward.

In most cases, a non-profit organization is run by a board of directors. You will need to state in your bylaws how many member the board will consist of, how long they can serve and how to decide on officers.

You will need to list the officer positions and the duties that each will fulfill. For example, the president will preside at meetings and perform other duties as needed for the position. Usually the officers are president, vice-president, secretary and treasurer but can be changed for whatever your organization needs.

You will need to state how often meeting will be help and any stipulations for calling a special meeting.

Voting guidelines need to be stated. How many people need to be present for a vote, majority passes etc.

The organizations fiscal policy needs to be addressed including the dates of the fiscal year.

You may want to include procedures for dissolving your organization if needed.

You also should include a policy for amending the bylaws. If that will be done by a majority vote then put that in the bylaws.

Lastly the bylaws should be approved by the board and signed by the president.

If you need a very official document you can contact a lawyer or have it notarized.
