What Is an Assignment of Contract?
When you run a business, you will usually enter into some contracts with other companies or customers at some point. After entering into a contract, you may decide that you no longer want to be involved with it. Instead of trying to break the contract, you could simply assign it to someone else.

An assignment is a procedure that is used to give all of the benefits and obligations that come with a contract to another party. By doing this, you can essentially rid yourself of any responsibilities that come with a contract with another individual. The person to whom you assign your contract will then step into your role and take over your responsibilities for you. At the same time, that person will also reap all of the benefits that come with the contract.

The basic idea behind this process is that you have to find someone else to take over your end of a deal. For instance, suppose you run a business that enters into a contract to buy a certain number of widgets each month for the next two years. After six months of buying this number of widgets, you decide that you want to change your business strategy and focus on something else. At that point, you could find another business that wants to buy widgets and assign your contract to it. Then the other business starts receiving widgets and paying for them.

Eligible Contracts

Not every contract can be assigned to another party. If the contract does not say anything about prohibiting the assignment of it, you can assign it. If the contract has terms that prohibit it from being assigned, then you cannot assign it. In some cases, the contract will say something about having to get permission from the other party before you can assign it. If this is the case, the other party must be informed about the assignment and then approve it before it can go through.
Altering the Agreement

If you use an assignment to remove your responsibility associated with a contract, it cannot negatively affect the other person in the contract. For example, if you originally entered into a contract to perform construction work for a customer and then you assign that contract to another contractor, the other contractor has to do just as good a job as you would have done. If the customer is not happy with the job, you could be in violation of your contract.
