How to Start an LLC in Utah

Business owners wishing to start a limited liability company in Utah simply must file the appropriate formation documents with the Utah Division of Corporations and Commercial Code. Once the state approves the company's formation documents, the Utah LLC will be treated as a distinct legal entity with a life separate from its members and managers. A single business owner can start a Utah LLC or any number of corporations, other LLCs, partnerships, foreign businesses or individuals.

      Conduct a name availability search to ensure another entity operating in the state is not already using your business name. Visit the Utah Division of Corporations and Commercial Code website to do this search. Avoid using terms in the legal name of the Utah LLC such as "association," "incorporated" or "university." Instead, include "limited liability company" or the abbreviation "LLC" in the legal name of the business.

      Access the Utah Division of Corporations and Commercial Code website to print the articles of organization. You can also pick up LLC formation paperwork at 160 E. 300 S., 2nd floor, Salt Lake City, UT 84111, or call the division of corporation and commercial code to have the formation documents mailed.

      Indicate the reason for organizing the company, as well as the address and name of each organizer. Provide the name of the company's agent for process, who must be an adult resident of Utah or a business registered with the Utah Division of Corporations and Commercial Code. List the physical address of the company's agent for process, since this represents the location to serve any lawsuit documents against the Utah LLC. State whether members or nonmembers will manage the company. If non-members will manage the business, provide the name and address of each manager. However, if members will manage the Utah LLC, state the name and address of each member. Add any other legal provisions to the company's articles of organization that the members of the company deem necessary to run the business.

      File the formation documents with the state. Make an extra copy of the articles of organization to keep with the Utah LLC's other business records. The division of corporations and commercial code accepts filings via mail, or you may personally hand deliver the Utah LLC's articles of organization. Fax the completed documents, along with a fax cover letter to 801-530-6438. The fax cover letter must provide a contact name, telephone number, email address and return fax number.

      Pay the appropriate filing fee. As of 2010, Utah LLCs paid a $70 filing fee via check or money order when submitting articles of organization to the division of corporations and commercial code. Cash payments are accepted when filing in person.
