How to File a Certificate of Limited Partnership in Indiana
Indiana limited partnerships consist of at least one general partner and one limited partner. The liabilities and debts of the partnership are assumed by the general partner, while the limited partner's liability stops at the amount he originally invested in the partnership. This form of partnership is taxed in the same way as general partnerships in Indiana. Each partner reports his income from the partnership on his personal income statement. Limited partnerships are required to file a certificate of organization with the Indiana Secretary of State's office.

Download a copy of the "Certificate of Limited Partnership" from the Indiana Secretary of State website (see Resources).

Fill out the required information. Indiana Code 23-16-3 states that the application for certification must include the name the partnership plans to use, the address and name of the partnership's agent in the state, the names and addresses of the general partners, the latest date the partnership will end by and any other information agreed upon.

Attach a check for the filing fee and any other documents to the certification application. The current filing fee is printed in the upper right-hand corner of the form and is also available on the Secretary of State's website.

Send the completed form, a photocopy of the form, filing fee and attached documents to the Indiana Secretary of State's office. Replace "Current Secretary of State" below with the name of the Secretary of State in office. This information is printed on the form and is available on the website:
