Instructions

    • 1

Decide on a name for your LLC. Check wth Sunbiz.org, the website of the State of Florida's Division of Corporations, to make sure that no one else has that name. The name of your company must end with the abbreviation "LLC."

    • 2

Download the Florida Articles of Organization and cover letter form from Sunbiz.org. Complete the cover letter, which notifies the Division of Corporations that you intend on forming an LLC (see Resources).

    • 3

Fill out the form. Type the name of your company, business and mailing address in Article I II of the Articles of Organization form.

    • 4

Identify the name of your Florida registered agent in Article III. A registered agent is responsible for filing your state's annual report and paying the annual fee to maintain your LLC's status. Your registered agent must have a physical address in Florida. If you reside in Florida, you can name yourself. Otherwise, you will be required to pay a service provider in Florida to act as your registered agent.

    • 5

List all the managers and managers/members in Article IV. Managers are the operators of your company, and members are the owners. You can be a member and manager as long as you disclose that information in Article IV.

    • 6

Have all your managers and managing members sign the Articles of Organization form. Mail the Articles of Organization to the Division of Corporation. Enclose a check in the amount of $125 for the necessary filing fee.
