How to Form an Arizona LLC

One of the most important steps in starting your own business is choosing the company's legal entity. The company's legal entity is its organizational structure, such as a general partnership, a corporation, a limited partnership or limited liability company (LLC). An LLC is a mix between a corporation and a general partnership because, like a corporation, it protects the owners from civil liability based on the actions of the company. It also allows the owners to be taxed on their personal income tax statement as a "pass through," similar to a general partnership. Title 29 of the Arizona Code governs the creation of an LLC.

      Obtain the "Articles of Organization" and "Cover Sheet for Corporate Filings" from the Arizona Corporation Commission. You cannot file the "Articles of Organization" online and you must obtain physical copies of both forms to create an LLC.

      Complete the "Articles of Organization." The "Articles of Organization" require you to provide the name of the limited liability company, the address where it will conduct business, the registered agent for the business, the purpose of the business, the date of dissolution for the business, if any, and how the company will be managed.

      Complete the "Cover Sheet for Corporate Filings." To complete this document, you must indicate that you are forming an LLC and provide the name of the LLC, your payment type and the return address.

      Submit the "Articles of Organization" and the "Cover Sheet for Corporate Filings" to the Arizona Corporations Commission with the filing fee. As of 2010, the filing fee is $50. Mail the form to 1300 W. Washington St., Phoenix, AZ 85007.
