How to Form a Close Corporation in Missouri

Corporations are formed when a document called the "Articles of Incorporation" is filed with the secretary of state. Missouri allows entrepreneurs to opt to form a "close corporation." Close corporations do not need a board of directors and need not comply with other formal requirements in the Missouri Business Corporation Act such as holding annual meetings or keeping bylaws. The corporation is limited to 50 shareholders. Form this type of corporation by filing the articles of incorporation for a close corporation.

      Download and print the Missouri "Articles of Incorporation for a Close Corporation" form. This form is available from the Missouri Secretary of State.

      Fill out article 1 by naming the corporation. The name of the corporation must have an identifier such as "Incorporated" or "Company" or an abbreviation such as "Inc." or "Co."

      Write the name and address of the corporation's registered agent in article 2. The registered agent can be yourself or a resident of Missouri. This person is responsible for receiving information on behalf of the corporation (such as tax documents sent by the state).

      Describe the shares of the corporation in article 3. If the corporation is not authorized to issue more than 30,000 shares or if the value of the shares does not exceed $30,000, you only need to check the box on line 1 of article 3.

      Write the name and address of each incorporator on the lines provided in article 4.

      State the duration for which the corporation is to last in article 5.

      State the purpose of the corporation in article 6. It is sufficient to form a corporation for "any lawful purpose." You can be more specific if you choose.
