A limited liability company, or LLC, must be registered by the Delaware secretary of state to do business within the state. While registered as a LLC in Delaware, you must file taxes and pay fees to renew your LLC's registration on a yearly basis. When the company no longer exists, it is important to formally dissolve or cancel the LLC with the Delaware secretary of state. This will prevent the state from charging the LLC annual registration fees.

      Contact the Franchise Tax Section to find out exactly how much tax is or will be due at the time of the LLC's cancellation. You can't submit a certificate of cancellation to the state of Delaware if you owe taxes.

      Call the Franchise Tax Section at 302-739-3073, option 3.

      Complete the Certificate of Cancellation of a Limited Liability Company (see Resources). The form requires the name of the LLC, the date that the certificate of formation was filed, the date that the LLC will be canceled and a signature from an authorized representative of the LLC.

      Submit the Certificate of Cancellation, a check for any taxes due and another check for $200 (as of 2010) to dissolve the LLC. Another $50 fee (as of 2010) is assessed if you want a certified copy of the cancellation certificate sent to you. Both checks should be made payable to Delaware Secretary of State. All materials should be sent to the address as noted on the cancellation certificate form.
