How to Become a Limited Liability Corporation in Texas
A limited liability company (LLC) is the step in between a sole-proprietorship or partnership business and a full corporation. This type of company protects its members from attacks against their personal assets but is not considered a wholly separate entity like a corporation. In Texas, becoming a limited liability company is fairly simple, only requiring a small amount of paperwork and a filing fee.

Contact the local Secretary of State to get a Form 205: Certificate of Formation for the State of Texas. You may also download the form from the Secretary of State's website (see Resources).

Collect the following information: the desired name of the company, the name of the agent or organization representing the company, its initial members or managers, the name of the person organizing the formation, contact information for all of these people, the reason the company is being formed and when the organizer wants the company formation to occur.

Fill out the form using the collected information.

Make a copy of the form. You must submit the form in duplicate to the Secretary of State. They will keep the original for their records and send the duplicate back to you.

Call the Secretary of State office to verify the filing fee as it changes from year to year. They may be reached at 512-463-5555.

Tips & Warnings
You can also file your forms online with the SOSDirect system, but there is a fee. It will generally allow you to form your company in less time, but only by a few days.
