How to Create an LLC in Virginia
Limited liability companies (LLCs) are a type of business entity that exists separately from its owners. An LLC protects its owners with a limited liability shield, which prevents the creditors of the company from pursuing the personal assets of the owners to reconcile the LLC's debts or legal obligations. Each state enforces a slightly different set of requirements and processes for LLC formation. Business owners must follow Virginia's LLC formation regulations to legally operate in the state.

Select a name for your limited liability company. The name must be unique, which means it cannot be easily confused with any other current or reserved business name in the state's records. A Virginia LLC's name must include "limited company," "limited liability company" or an abbreviation of either phrase (LC or LLC). Choose a registered agent to represent your company in Virgina. A registered agent can be an individual person or a business entity, but must be resident of or based in the state of Virginia. A registered agent acts as a liaison between your LLC and the Virginia state government.

Acquire a copy of the form titled "Articles of Organization of a Domestic Limited Liability Company." Download this form from Virginia's state website or obtain a physical copy from a local branch of the commonwealth's office.

Complete the Virginia articles of organization for your LLC. Record the name of your company, and the name and address of your registered agent. Enter the initial address for your LLC's office. Enter the name and address of the members (owners) of your LLC. If your LLC has designated managing members, record the names and addresses of the managing members instead.

Enclose the necessary fees and additional documents with your articles of organization. If your LLC has an operating agreement, include that with your articles of organization when you file. As of 2010, the standard fee for filing to form a Virginia LLC is $100. Additional services (such as process expedition) increase this cost.
