How to Set Up a Professional Corporation in Florida thumbnail
Incorporate your Florida corporation online.

incorporating a business is not difficult, but deciding which kind of corporation is right for you takes more work. Assuming you have done due diligence and decided on the best type of corporation for your business, you can complete the entire incorporation process online, through the Florida Department of State Division of Corporations website. Some corporations, like S-Corps and tax-exempt nonprofits require additional registrations with the Internal Revenue Service, but incorporation in Florida is still the first step.

Instructions

    • 1

Download the Articles of Incorporation form that corresponds to the type of corporation you want to set up. The forms are divided into the following categories: Corporations (nonprofit and profit), LLCs, and Partnerships. You can find the link to these forms below.

    • 2

Follow the instructions in the Articles of Incorporation form. Required information to file the Articles of Incorporation includes the name of the corporation, its mailing address and the mailing address of the corporation's main agent, which is usually the person filing the articles.

    • 3

Mail your Articles of Incorporation with a check for $70 to:
      Department of State
      New Filing Section
      Division of Corporations
      P. O. Box 6327
      Tallahassee, FL 32314

If you would like a certified copy of your Articles of Incorporation returned to you, make the check for $78.75 and include an extra copy in your mailing. For a certified copy and a Certificate of Status, include an extra copy and make the check for $87.50.

    • 4

Wait for the Florida Department of State Division of Corporations to mail you back confirmation that your corporation's status is officially active.

    • 5

Proceed with filing federal IRS forms if your corporation type requires it. Forms for S-Corps and tax-exempt nonprofits are linked below.
