How to Start a C Corporation in Texas
To start a C corporation in Texas, you must submit the certificate of formation and the filing fee to the Texas Secretary of State. The documents may be mailed, faxed, filed online or hand-delivered to the secretary of state. C corporation is the preferred business structure for people who want to create a business that is a separate legal entity from the individuals running the company.

Choose a name for the corporation. If the name is already registered by another business or if the name is very similar to a currently registered name, the application will be rejected. Prior to submitting your application, you can find out if the name is currently available by calling the secretary of state at (512) 463-5555. You can also email the secretary of state at corpinfo@sos.state.tx.us to find out if the name is available.

Choose a registered agent. The corporation cannot serve as its own registered agent. The registered agent can be a person who is a Texas resident or it can be a company registered to do business in Texas. The corporation is required to receive the express written consent from the registered agent agreeing to serve in that capacity. The registered agent must have a physical street address in Texas where service of process can be hand-delivered.

Complete the certificate of formation. An organizer who is at least 18 years old and authorized to form contracts on behalf of the corporation must sign the certificate. The filing fee is $300. The certificate, a duplicate copy of the certificate, and the filing fee can be hand delivered to the James Earl Rudder Office Building, 1019 Brazos, Austin, TX 78701; faxed to (512) 463-5709; or mailed to Secretary of State, P.O. Box 13697, Austin, TX 78711-3697. You can also file the certificate online once you've set up an account with the secretary of state.
