How to Set Up an LLC in Florida
New businesses registering with Florida may choose to start a limited liability company (LLC). Filing an LLC provides special legal benefits. For example, LLC members can avoid personal liability for actions of the LLC entity. The Florida Department of State provides the legal forms to set up Florida companies. Business owners set up an LLC in Florida by selecting a business name and filing the Department of State LLC forms.

Decide on a name for the company. Florida requires that LLC names end with one of the following phrases or abbreviations: LLC, L.L.C. or Limited Liability Company. Business owners may use "Ltd." as an abbreviation of "Limited" and "Co." as an abbreviation of "Company."

Search for the name at the Florida Department of State website (see Resources) to determine if any other business is already using the name. According to the Division of Corporations, you must select an LLC name that is "distinguishable" from all other names in use.

Fill out the "Cover Letter" and "Articles of Organization for Florida Limited Liability Company" forms (see Resources). The Florida Department of State also allows you to fill out these forms through its online e-filing system. The Division of Corporations recommends that you have a lawyer look over the articles before submitting the form. A lawyer may help you draft specific articles that apply to your new LLC business.

Decide which additional products to purchase when you register an LLC. The certificate of status shows that your LLC is in good standing. As of 2010, the fee for a certificate of status is $5. The Division of Corporations will also provide a certified copy of the "Articles of Organization" that you file. As of 2010, the fee for this service is $30. Include additional copies of the completed form if you wish to purchase any certified copies.

Make out a check or money order to the Florida Department of State. As of 2010, the LLC filing fee is $125. Add any amounts for certificates of status or certified copies. Pay by credit card when using the online e-filing form. To apply by mail, send the completed forms and payment to the Registration Section of the Division of Corporations.

Tips & Warnings
An LLC already registered in another state may conduct business in Florida by filing an "Authorization to Transact Business" form (see Resources). The LLC must present the form and a certificate of existence from the home state issued within 90 days before registration. The fees and filing methods are identical to the registration of a Florida LLC.
