How to Form a Corporation, LLC, or Partnership in Arizona
When you create a limited liability corporation (LLC) you create an entity that is separate from the owner or owners. Therefore, when someone sues an LLC, the personal assets of the owners are protected. LLCs also have certain tax advantages and give owners credibility and privacy, Forming an LLC is not difficult, if you know the steps and you can establish one without the assistance of a lawyer. There are also many online services that, for a relatively small fee, can walk you through the LLC formation process--or you can simply create one on your own.

Select a name for you Limited Liability Company. The Arizona Corporation Commission will not approve a proposed LLC name unless it is distinguishable from other names already on file with the ACC and the Arizona Secretary of State.

Select a statutory agent for your LLC. All LLCs in Arizona require a statutory agent located in Arizona to whom all legal documents can be served on behalf of the LLC.

Prepare Articles of Organization for your new LLC. Determine whether it will be a Limited Liability Company or a Professional Limited Liability Company. It must be signed by at least one person and include the new company name, address, mailing address of the statutory agent, date which the LLC must dissolve (if there is one), and management structure.

Prepare a cover sheet. When you file the Articles of Organization with the ACC, you must also submit a completed cover sheet.

Pay the filing fee for your LLC. You must pay the filing fee when you submit your Articles of Organization for $50 in the form of cash or a check. For an additional $35 you can expedite the review service. Make checks payable to "Arizona Corporation Commission."

File your articles with the ACC. Deliver personally or mail them, along with the completed cover sheet and the fee in the form of cash or check. This can be sent to either the Phoenix office at 1300 W. Washington, 1st Floor, Phoenix, AZ 85007 or to the Tucson office at 400 W. Congress St., Tucson, AZ 85701.

Publish your Articles of Organization. After receiving an approval notice of your articles, you must publish a Notice of Publication in three consecutive publications of a newspaper of general circulation in the county of the location of your LLC. This notice must be pursuant to ARS §29-635.
