How to Set Up a Corporation in Massachusetts

Starting a corporation allows you to have more tax benefits (and sometimes tax protection) than you would with a sole proprietorship. Click on "Corporations Division," then select "Corporation Card File Search." Input your intended business name. Click "Search" and see if there are any corporations with that name.

      Draft your articles of organization. Articles of organization is a document that informs the Secretary of State who is registering for the business, the number of initial shares that may be offered to any shareholders (if any), the company address and the name of the business. You can hire an attorney to draft the articles of organization for you, or you can access the Secretary of State's website and draft the articles of organization online.

      Send in your articles of organization to the Secretary of State. Massachusetts allows you to apply online via credit card, fax, mail, or walk in. The cost in Massachusetts for filing articles of organization is $275. You can file your articles of organization in person for a quicker approval for your corporation. Go to the Secretary of State's website, click on "Corporations Division," and under "Business Filings" select your chosen method to submit your registration.
