How to Form a Limited Liability Partnership in Georgia
Limited partnerships are a unique form of business in that the organization has general partners, who are personally liable for the debts of the business, and limited partners, who are only liable to the extent of their investment in the business. In Georgia, more than 15,000 limited partnerships are operating as of 2009. While deciding to form a limited partnership is a complicated business decision, once made, the process of legally forming the entity is a relatively simple matter.

Prepare a Certificate of Limited Partnership. According to Georgia law, the certificate must be on white paper, sized 8 1/2 by 11 inches. The certificate must have the following information: the name of the partnership, the names and addresses of the general partners, the address of the registered office, and the name and address of the registered agent.
There is no general form. Simply include the required information in some clear fashion.

Sign the Certificate of Limited Partnership. All the general partners in the limited partnership must sign the certificate. The signatures must be original signatures; no photocopies.

Complete Georgia Limited Partnership Transmittal Form 246. Simply fill in the appropriate blanks with the required information. Copies of this form are available at any Georgia Secretary of State Office. An electronic copy of the form has been provided below in the resources section.

Bring two copies of the completed Certificate of Limited Partnership and one copy of the completed form 246 to the Secretary of State Office located in the county where the limited partnership is being formed. The clerk will ensure all the proper information has been included.

Remit the filing fee. As of 2009, in order to form a limited partnership in Georgia, the filers must pay a fee of $100. The limited partnership will take effect as soon as the proper forms are filed and filing fee is paid.
