How to Form a Limited Liability Company in Arizona

A limited liability company can be formed by filing Articles of Organization with the Arizona Corporation Commission.

Instructions

1. Reserve a name. You can check the availability of your business name in Arizona electronically through the Arizona Corporation Commission website. If the name is available, you will be prompted to electronically reserve it at a cost of $45. You can also reserve a business name by mail for $10.

2. Download and complete form. The form necessary to create an LLC in Arizona is the Articles of Organization (LL:0004), which must be filed with a corporations division coversheet (cfcvlr). The form is available from the Arizona Corporation Commission website.

3. File the original form with corporation commission. After making a copy for your records, send the signed original Articles of Organization with coversheet to the Arizona Corporation Commission. Indicate on the coversheet if you'd like to purchase certified copies. You may also include the paper application for name reservation with a separate coversheet. Include a filing fee of $50 for regular processing or $85 for expedited processing. The form must be mailed to:

Tips & Warnings

• The required information in the company's articles of organization are the name of the company, the street address, address of place of business if different, signature of a designated agent for service of process, a statement as to whether the company is managed by the owner/members or separate managers and the name and address of each member who owns a 20 percent or greater interest in the capital or profits of the limited liability company.
