Step 1
Choose a business name. When deciding a name for your limited liability partnership, you must include the words "Limited Liability Partnership" or "Registered Limited Liability Partnership" with your business name. You may also use an abbreviation such as L.L.P. or LLP.

Decide which state to operate in. Visit the Internal Revenue Services website and obtain information for starting a business in the state of your choice. Go to irs.gov, click on "Businesses," under businesses click on "Small Business/Self Employed," and click "State Links". Choose the state in which you wish to conduct business as an LLP and scroll down to either the secretary of state of corporations division, then view its requirements for registering a limited liability partnership. LLPs are only available to professionals in some states and some states do not recognize them.

Step 3
Prepare a limited liability partnership agreement. Define each partner's role, expectations and protections in the partnership by clearly listing these in an agreement. List the each partner's personal assets and that they may not be used to satisfy financial debts or obligations. State in the agreement the protection partners have against any negligence, misconduct or wrongful acts made by another partner. List the terms in which each partner has for any liabilities of normal business debts and contracts.

Step 4
Apply for a tax identification number (TIN). If your business operates as a partnership, file for a TIN number. This is a nine-digit number issued by the Internal Revenue Service (IRS) used to identify business tax accounts, also known as a employer identification number (EIN). Visit irs.gov, scroll down to online services and click on "Apply for an Employer Identification Number (EIN) Online".

File the Certificate of Limited Liability Partnership. Register the LLP by visiting the state's website in which you previously visited. Locate the registration or certification form, typically found in the forms section. Submit the name, location, registered agent, names and addresses of managing partners, and the signature of the managing partners and registered agent. Expect to pay a filing fee of $50 to $100.
