Corporations require registration.

State and federal laws require corporations to register with the states in which they practice business in order to be legal. In most cases, companies can register with the local Secretary of State office (sometimes called the Department of State), which typically requires an annual report from the company. Failure to file this report (or submit other required documentation) and pay annual fees results in administrative dissolution of your company.

Instructions

      Cease operation of your business until the Secretary of States office reinstates the corporation's registry. This is for the protection of you, your business and your customers.

      Obtain a tax clearance letter from the Department of Revenue in your state if your Secretary of State office requires such a document. This letter must indicate that the corporation has no taxes due on a state or federal level. The request for a tax clearance letter is typically a form available through the Department of Revenue, such as Missouri's Form 943 (see Resources).

      Fill out the appropriate Request for Reinstatement form, where applicable. Tennessee requires such a form (see Resources).

      Update the annual report for the business. Include the operating location for the company, the mailing address, the name and contact information for the registered agent, and the name and contact information for the corporate officers.

      Submit the Request for Reinstatement form, current annual report, and current and past due fees to your local Secretary of State office for review.
