A corporation is the most complex form of business organization. Advantages of a corporation are that liability is limited to the amount owners have paid into their share of stock. Some disadvantages are extensive record keeping, close regulation, and double taxation.

Things You'll Need:

  • Articles of Incorporation: Form DSCB: 15-1306
  • Docketing Statement: Form DSCB: 15-134A
  • Pennsylvania Enterprise Registration: Form PA-100
  1. Step 1

    To form a corporation in Pennsylvania, you must fill out and file Articles of Incorporation, form DSCB: 15-1306. That form must be filed with the Corporation Bureau, Department of State.

  2. Step 2

    Next you will need to fill out and file Docketing Statement, form DSCB:15-134A. Also submitting that form to the Corporation Bureau, Department of State.

  3. Step 3

    Please not that out of state corporations must also submit an application for a Certificate of Authority, form DSCB:15-4124. That form is necessary to conduct business in the Commonwealth of Pennsylvania.

  4. Step 4

    Lastly a Pennsylvania Enterprise Registration, form PA-100 must be completed to register for certain taxes and services administered by the Pennsylvania Department of Revenue and the Pennsylvania Department of Labor & Industry.

Tips & Warnings
  • The most common reasons a corporation would be required to complete a form PA-100 are when it is conducting retail sales or has employees.
