How to Form LLC for an Internet Business

If you have started an Internet business and want to make it legitimate, then you will need to register it with your state. Forming an LLC for that Internet business will provide you with a business structure that exempts you from personal liability in relation to the business. Forming an LLC is a fairly straightforward process and is the same in every state. However, the fees are likely to vary from state to state.

You will need to come up with a name for your Internet business to form an LLC. You should have a few backup names in the event that your name of choice is already in use by another business. Check if your chosen name is available by visiting the secretary of state's office in your state. In some states, such as Tennessee, this can be done over the phone or on the website for your state's secretary of state. Someone in the office will be able to search the business name database for you.

You will need to submit the LLC form to the secretary of state's office with the filing fee. This can usually be done in person or by mail. Most states offer the LLC form for download on the website for the secretary of state. The mailing address will be listed on the form that you download. The filing fee varies by state but ranges from $100 to $800. Someone at the secretary of state's office in your state will be able to tell you what the fee is.

Create your LLC operating agreement. All states require LLCs to have a formal operating agreement. The operating agreement simply lists each member of the LLC and what their responsibilities are to the LLC. You will keep this on file at the business location, which may be your home, because you are forming the LLC for an Internet business.

Publish your intent to form the LLC. Most states require new businesses to publish an intent to form a new business in the local newspaper. The secretary of state's office will be able to tell you if this is a requirement of your state. If it is, simply call your local newspaper to place this ad.

Obtain a federal tax ID number. To be able to file your yearly taxes for your new Internet LLC, you will need to get a federal tax ID number. You can get this from the IRS by filling out a form on its website (see Resources). You will be given a new federal tax ID for your Internet business immediately.
