How to Dissolve a Limited Partnership in New York State
A limited partnership is a widely used form of business organization, usually indicated by the abbreviation LP in a business name. Partners in a limited partnership share profits from the business and also share limited liability in the event of a lawsuit, to the extent of their capital contribution. A limited partnership in New York is formed and dissolved by filing the appropriate form with the New York State Department of State.

Identify the appropriate form for dissolving your limited partnership. Use the Certificate of Cancellation to dissolve a domestic LP (one that was formed in New York) and the Certificate of Termination of Existence to dissolve a foreign LP (one that does business in New York but was formed elsewhere).

Fill out the form with the name of the LP and the reason for cancellation. Print and sign the form; all partners should sign.
