How to Form a PLLC in Arizona

Forming a professional limited liability company (PLLC) in Arizona gives the owners, or members, some protection from lawsuits. A PLLC shields the members' assets from the debts of the company. Only those persons rendering professional services, such as medical or legal services, can form a PLLC in the state. Arizona laws define a professional service as one that is only legally rendered by a person licensed or authorized by a state licensing agency. You must file Articles of Organization with the Arizona Corporation Commission to form a PLLC.

      Choose a name for the PLLC. You can't use a name already in use by another registered business entity in Arizona. Check name availability online at the official website of the Arizona Corporations Commission on the public access system. Add the words "Professional Limited Liability Company" or "PLLC" or "PLC" to the end of the name to comply with Arizona law.

      Find a statutory agent to accept legal service for the PLLC. You can use a person if he is a resident of Arizona all year, or a business registered in Arizona.

      Get an "Articles of Organization" form. Download the form from the Arizona Corporations Commission's official website, and print it out. Call the commission at 800-345-5819 if you live in Arizona or the out-of-state line at 602-542-3026 to request that a form be mailed to you.

      Complete the form. You need the name and address of the PLLC, the name, address and signature of the statutory agent and the type of professional services provided. Include the names and addresses of all members for a member-managed company. If one or more non-member managers runs the PLLC, list the names and addresses of all managers and any members who have 20 percent or more interest in the PLLC's assets or profits. Have the organizer of the PLLC sign and date the document.

      Attach a check or money for the filing fee, payable to the Arizona Corporation Commission, to the form. The fee is $50 at the time of publication.

Tips & Warnings

  • You must publish the articles in a newspaper of the PLLC's county for three publications in a row after the commission approves the filing. Failing to do so within 60 days of approval can trigger a dissolution of the PLLC under Arizona law.
