A Wisconsin certificate of authority can be revoked.

A certificate of authority is required in order for an out-of-state company to do business in Wisconsin. The Wisconsin Department of Financial Institutions can alter or revoke a certificate of authority.

  1. General

    • A certificate of authority is a document issued by the state of Wisconsin granting an out-of-state company the right to conduct business within that state. A certificate of authority is also needed for any foreign limited partnerships or cooperative associations transacting business in Wisconsin.

    Grounds for Revocation

    • The grounds for revocation of a certificate of authority are set forth in Section 180.1530 of the Wisconsin Statutes. Grounds for revocation include failure of the corporation to file an annual report or pay any fees or penalties by their due date. A revocation may also result from the corporation's failure to maintain a resident agent in Wisconsin.

    Revocation Procedure

    • The Department of Financial Institutions is required to give written notice to an out-of-state corporation that grounds for revocation of a certificate of authority exist. The corporation has 60 days to dispute or correct the grounds for revocation.
