Title 14, Section 14 of the Georgia Code is referred to as the Georgia Business Corporation Code. In Georgia, a corporation is a legal entity that enjoys all the rights and powers of a natural person in carrying out its business.

  1. Forming a Corporation

    • Georgia corporations are formed when one or more natural persons files Articles of Incorporation with the Corporations Division of the offices of the Secretary of State.

    • Reserving your corporation's name with the Georgia Corporations Division is the first step in the incorporation process.

      The name of the corporation must be reserved prior to filing. The original and one copy of the Articles of Incorporation must accompany Transmittal Form 227 and, as of September, 2010, a $30 filing fee.

    Name Protection

    • When the Secretary of State accepts and registers the name of a corporation, it does not mean the name is protected from others using it.

    Officers

    Renewals

    • Georgia corporations are required to file a renewal of registration annually, between January 1 and April 1.

    Foreign Corporations

    • If a business that is incorporated in another state wants to conduct business in Georgia, it must apply as a foreign corporation for a certificate of authority from the Secretary of State.
